Enterprise Bankruptcy Liquidation Process and Creditor Rights Protection

Enterprise bankruptcy liquidation is an important legal mechanism for market exit. Creditors must understand bankruptcy procedures, promptly declare debts, and maximize protection of their rights.

1. Bankruptcy Application Conditions

An enterprise legal person that cannot pay due debts and whose assets are insufficient to pay all debts or who clearly lacks solvency may file for bankruptcy liquidation with the people's court. Creditors may also apply for debtor bankruptcy reorganization or liquidation. Bankruptcy applications are under the jurisdiction of the people's court at the debtor's domicile. After the court accepts the bankruptcy application, the debtor's debtors or property holders must pay debts or deliver property to the administrator.

2. Bankruptcy Liquidation Process

Process: bankruptcy application β†’ court acceptance (appoints administrator) β†’ notify known creditors and publish announcement β†’ debt declaration (30 days to 3 months from announcement date) β†’ first creditors' meeting β†’ bankruptcy declaration β†’ bankruptcy asset realization and distribution β†’ bankruptcy procedure conclusion β†’ deregistration. The administrator takes over debtor assets, investigates financial status, decides internal management matters, represents the debtor in litigation, etc.

3. Debt Declaration and Repayment Order

Creditors must declare debts to the administrator within the court-specified period, stating the debt amount and whether secured by property in writing, with supporting evidence. Undue debts are deemed due upon bankruptcy application acceptance. Afterpriority paying bankruptcy expenses and common-interest debts, bankruptcy assets are repaid in the following order: β‘  employee claims (wages, medical/disability subsidies, pensions, social security and compensation); β‘‘ taxes; β‘’ ordinary bankruptcy claims. If bankruptcy assets are insufficient for the same order, distribution is proportional.

4. Creditor Rights Protection Essentials

Creditors should: promptly declare debts (late declaration may forfeit certain rights); attend creditors' meetings to exercise voting rights (verify debts, approve reorganization/settlement/asset distribution plans); monitor debtor's financial status, promptly report asset transfer, false bankruptcy, etc. to court or administrator; may apply to court to revoke administrator decisions they object to; secured creditors have priority repayment rights for specific property. Requiring guarantees in transactions to reduce bad debt risk is recommended.
